About StateCF's Role
StateCF is a DBA of Sprowtt Inc. Sprowtt Inc. is registered as an intermediary with the Florida Office of Financial Regulation (OFR) under Chapter 517, Florida Statutes. Registration does not imply that such person has been sponsored, recommended, or approved by the state or an agency or officer of the state or by the United States or an agency or officer of the United States. StateCF is not a broker-dealer, investment adviser, bank, escrow agent, or custodian of investor funds.
StateCF facilitates Florida intrastate capital-raising workflows for companies and eligible Florida investors. Each offering is made by the company on its own behalf. StateCF does not recommend, solicit, or endorse a particular security or investment opportunity, and does not pass judgment on the merits of any security.
Sprowtt Inc. may charge the company that lists an offering on this site a commission or fee, which is disclosed to investors through the company's offering notice filed with the OFR. Investors are not charged. StateCF receives no referral fee, commission, markup, revenue share or other compensation from banks, escrow providers or other service providers. Companies choose and pay their own providers directly. The only exception would be an offering syndicated with another funding portal, which would be unusual and disclosed in that offering.
StateCF is affiliated by common ownership with Sprowtt Crowdfunding Inc. d/b/a Sprowtt CF, a federally regulated funding portal and FINRA member. StateCF is not a FINRA funding portal, and offerings on StateCF are not Regulation Crowdfunding offerings unless expressly identified otherwise. StateCF is also affiliated with sprowtt.com, a SaaS application that is not regulated by the OFR or FINRA.
