StateCF has no ownership in, partnership with, or referral arrangement with any of them, and receives no referral fee, compensation or other benefit from them. The company or investor that uses a service chooses it, contracts with it and pays it directly. A listing is not an endorsement.

What a transfer agent does

A transfer agent keeps the company's official list of shareholders, issues and records shares, and handles transfers of shares between holders.

When one is required

  • Regulation Crowdfunding. The company keeps its exemption from counting those investors toward SEC registration only if, among other conditions, it "has engaged a transfer agent registered pursuant to Section 17A(c) of the Act" (17 CFR 240.12g-6(a)(3)).
  • Regulation A, Tier 2. The same condition applies (17 CFR 240.12g5-1(a)(7)(iii)).
  • A Florida offering. Ask your counsel whether your offering needs one.

Before you sign with a transfer agent

Questions for the company to ask any transfer agent before it signs.

  1. What does it cost to leave, and how and when will you hand over our shareholder records if we move to another agent?
  2. How long is the contract, does it renew automatically, and how much notice do we give to end it?
  3. Will you ever hold back our shareholder records until an invoice is paid?
  4. Do you bill separately for each class or series of shares?
  5. Will you use our shareholders' names or contact details for marketing, yours or anyone else's?
  6. Do you pay or receive a finder's fee, or any other payment, for referrals, including any referral that brought us to you?
  7. Are you owned by or affiliated with an offering platform, a broker-dealer or a funding portal?
  8. Are you registered with the SEC as a transfer agent? Ask for the agent's Form TA-1 and check it on EDGAR.
