Payment process

How Subscription Funds Move

StateCF facilitates the online subscription workflow for Florida intrastate offerings. It does not accept, hold, custody, control, or distribute investor or company funds.

Florida investor

Signs the subscription on StateCF and pays the amount shown. No add-on portal fee for investors.

Florida depository

The bank or depository named in the company's disclosure under § 517.0612(8). Holds the funds until the disclosed target is met. Not a StateCF account.

The company

On close, the depository transfers funds by ACH to the company's designated account. Portal fees, disclosed in the OFR filing, come out of that transfer.

Step by step

  1. Review the offering. Read the company's disclosure statement, financial information, subscription materials and depository terms before deciding.
  2. Complete a subscription. Eligible Florida investors submit a subscription through the two-screen checkout: your limit, then shares, certifications and electronic signature.
  3. Send funds to the disclosed depository. Payment instructions name the company's Florida depository, not StateCF. You may cancel any time before you pay, and for 3 days after you first pay (§ 517.0612(12)); StateCF counts the 3 days from when your payment is received. StateCF emails you the exact deadline when your payment is recorded.
  4. Closing or return of funds. If the offering closes under its disclosed terms, the depository disburses proceeds to the company's designated account and a digital certificate is issued on the cap table. If the target is not met by the deadline, the depository returns funds under the offering terms.

StateCF records and facilitates the subscription workflow but does not hold, custody, control or disburse investor or company funds. StateCF is not a bank, escrow agent, custodian, broker-dealer or investment adviser, and does not provide investment, legal, tax or accounting advice.
